CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS

OVERVIEW:
Since 1988, the U.N. Convention on Contracts for the
International Sale of Goods (CISG) has governed commercial
sales of goods between U.S. parties and those from other
CISG contracting states. However, empirical studies suggest
a general lack of awareness or understanding of the CISG
within the legal community. This Conference is intended to
improve such awareness and understanding of this important
body of federal law governing an increasing number of
transactions in today's increasingly interdependent world.
Professor Peter Fitzgerald will begin by presenting his
recent empirical study on awareness within the bar,
judiciary, and academy of the law governing international
transactions in goods. Professor Fitzgerald will also
discuss the basic scope of application of the CISG.
The first panel will highlight various comparisons of the
CISG and UCC Article 2, as well as attitudes of corporate
counsel regarding the CISG as governing law. The panel will
be moderated by a law professor and will include
presentations by both practicing attorneys and law
students. The second panel will include the keynote
speaker, Professor Harry Flechtner, and will address one
of the most significant continuing challenges for U.S.
attorneys and courts - the property interpretation and
application of the CISG. This panel will also include a
presentation by Professor Al Kritzer on the vast array of
well organized CISG research materials available at no
charge on the Pace University website. The afternoon panel
will address a few interesting issues involving attempts to
"opt in" or "opt out" of the CISG, as a matter of contract.
These discussions will also raise issues of oral
contracting, the battle of forms, choice of law, and the
possible effects of a choice of forum.
Lunch speakers will focus on issues related to
international trade: (1) U.S. Department of Commerce
assistance regarding Long Island Export Business and
(2) the Town of Islip Free Trade Zone.
